IMPORTANT: SECTION 20 CONTAINS AN ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. Unless you opt out within 30 days as described there, you and Taught agree to resolve disputes through binding individual arbitration, not in court and not as part of a class. You may still bring an eligible claim in small-claims court.
1. About these Terms
These Terms of Service (the "Terms") are a binding agreement between you and Gunning Industries Corp, doing business as Taught ("Taught," "we," "us," or "our"). They govern your use of taught.life and its subdomains (the "Site"), the Taught mobile applications (the "App"), and all related services, including early access, Lessons, recording, review, licensing, Gold rewards and referrals (together, the "Service").
These Terms incorporate the following, which form part of this agreement:
- the Privacy Policy, which explains how we handle personal information;
- the Biometric Data Notice;
- the Community Guidelines, which set out what may and may not be recorded;
- the Copyright Policy; and
- any Lesson-specific terms shown to you in the App before you accept or record a Lesson, including exclusivity terms for an Exclusive Lesson.
If any Lesson-specific term conflicts with these Terms, the Lesson-specific term controls for that Lesson only. You accept these Terms by checking the box or tapping the button that references them, by creating an account, or by joining the early-access list. If you do not agree, do not use the Service.
2. Who may use Taught
To use the Service you must:
- be at least 18 years old and able to form a binding contract;
- be a resident of the United States and use the Service from within the United States (some Lessons or features may be unavailable in certain states);
- provide accurate, current information and keep it up to date;
- hold only one account, in your own name; and
- not have been previously removed from the Service or be barred from receiving services under U.S. law, including U.S. sanctions.
The Service is not directed to anyone under 18. If we learn that an account belongs to someone under 18, we will close it, delete its data as described in the Privacy Policy, and exclude any of its recordings from licensing.
3. The early-access list
The Site offers a way to request early access to Taught. Requesting early access is an expression of interest only. It does not create an account, does not commit you to anything, and does not promise that Lessons, work, rewards or access will be available to you at any particular time or at all. We use the details you give us only as described in the Privacy Policy — to contact you about Taught — and you can ask us to remove them at any time. Giving us a phone number does not authorize us to send text messages; we will not send marketing texts or calls without your separate, express written consent.
4. Your account
You sign in to the App with your email address and a one-time code. You are responsible for keeping access to your email account secure and for all activity on your Taught account. Tell us promptly at support@taught.life if you believe your account has been compromised. We may require you to verify your identity or email address, and we may pause sensitive actions — such as redemptions — for a period after a change to your account details, to protect you.
Your profile is private. We do not show your name, photo or location to other users or to customers.
5. The Teacher program
5.1 What Teachers do
As a "Teacher," you may choose to record first-person video of real-world tasks — "Lessons" — and submit those recordings to Taught. Each Lesson describes the task, the recording requirements (such as length, framing, mount and narration) and the reward shown before you start. We may also invite you to Lessons based on the information you choose to share with us, such as your home setting, equipment and skills.
5.2 You are an independent participant
Participating as a Teacher is voluntary. You decide whether, when, where and how often to record, which Lessons to choose, and whether to stop at any time. There are no shifts, schedules, quotas, minimum hours or exclusivity requirements, and you use your own phone and equipment. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between you and Taught. You are not entitled to wages, overtime, benefits or expense reimbursement from Taught, and you are responsible for your own taxes (see Section 9.9). What Taught acquires from you is a license to recordings you create and own, on the terms below.
5.3 Reservations
Starting a Lesson may reserve a spot for a limited time (currently 90 minutes). If the reservation expires or you cancel it, the spot may be released to other Teachers. Lessons have limited availability; demand is real and finite, and we may close, pause or change a Lesson at any time before you submit.
5.4 Recording
You must record Lessons in the App, following the Lesson's instructions and the Community Guidelines. The App captures video, audio, device motion and orientation data, and recording timestamps only while you are actively recording a Lesson, as described on each Lesson and in the Privacy Policy. For Lessons that require LiDAR depth on a supported device, the App also records depth maps showing distances from the camera and a separate wide-camera video alongside the primary video; the Lesson explains this before you record. Some Lessons also ask for location, which is requested separately and only for that Lesson. You may add voice notes, text notes and tags to a recording, and you may trim it before submitting.
Record only where it is safe and lawful to do so. Do not record while driving or while doing anything that requires your full attention to stay safe. You are responsible for your own safety while recording, and you assume the risks of the tasks you choose to perform.
5.5 Review and acceptance
When you submit a recording, a quick automated check confirms basics such as minimum length and, where a Lesson requires it, narration. A person then reviews the recording against the Lesson's requirements and the Community Guidelines. We decide, in our reasonable discretion, whether to accept a recording, ask you for changes, or decline it, and we tell you what our reviewer found. A recording is not accepted until we say so, and submitting a recording does not entitle you to any reward. We may decline recordings that do not meet the requirements, that we cannot use, or that we reasonably believe break these Terms or the law. There is no formal appeal of a review decision, but you may contact support if you believe we made an error.
5.6 Teacher Levels
We may assign Teacher Levels based on the quality of your accepted work, the number of accepted Lessons, how long you have been active and the range of categories you teach — never on raw upload volume. Your Level determines your royalty share (Section 9.3). Levels do not go down, but we may change how Levels are earned for the future. A new share applies only to licenses recorded after the change.
5.7 No guarantee
We do not guarantee that any Lesson will be available to you, that any recording will be accepted, that any accepted recording will ever be licensed, or that you will earn any particular amount. Rewards are modest, royalties depend entirely on licensing activity, and Taught is not a substitute for a job or a source of income you can rely on.
6. Your recordings and the license you grant
6.1 You own your recordings
As between you and Taught, you own the original recordings you create with the App, including their audio, motion data, any LiDAR depth maps and auxiliary wide-camera video, notes and tags ("Your Content"). Nothing in these Terms transfers ownership of Your Content to Taught or to any customer, except that an Exclusive Lesson grants a customer an exclusive license on the terms shown when you accept it (Section 6.5).
6.2 The license you grant to Taught
When you submit a recording, you grant Taught a worldwide, non-exclusive, royalty-bearing, transferable (only with our business), sublicensable (through multiple tiers, as described below) license to:
(a) host, store, reproduce, process, transcode, review, trim, annotate, label, segment and otherwise prepare Your Content, and create derivatives of it, to operate, secure and improve the Service;
(b) license accepted recordings and their associated audio, motion data, annotations and metadata to our customers — robotics, embodied-AI and AI companies — and permit them to use those recordings to research, develop, train, fine-tune, test, evaluate and improve AI models and robotic systems, and to use, reproduce and modify the recordings for those purposes. Every license of a recording made with LiDAR depth includes its depth maps and the auxiliary wide-camera video and technical records needed to interpret them, within the licensed recording segments; these are covered by this license and need no separate approval;
(c) use Eligible Content to research, develop, train, fine-tune, test, evaluate and improve AI models, including world models, developed by or for Taught ("Taught Models"), and license or sell Taught Models, as described in Section 6.9;
(d) provide short, watermarked, reduced-quality evaluation samples of accepted recordings to prospective customers under evaluation-only terms; and
(e) use limited excerpts internally to review quality, train our reviewers, prevent fraud and comply with law.
This license covers recordings you submit, whether or not they are accepted, but we license to customers only accepted recordings that are available for licensing. We will not publish Your Content publicly or use it in advertising or marketing without your separate written permission.
Customers may keep and use AI models, weights, parameters and other outputs they develop using licensed recordings, and those models and outputs are not "Your Content." You acknowledge that information learned by a trained model cannot practically be removed from it.
6.3 What we require of customers
We license recordings only under written agreements that, among other things: limit use to developing and evaluating AI and robotic systems; prohibit attempts to identify the people in a recording; prohibit creating biometric templates or identifiers from recordings; prohibit using a recording to create a digital replica, synthetic likeness or voice clone of any person; prohibit public display, publication or resale of the recordings; require reasonable security and breach notification; prohibit transfer of the data to countries of concern, covered persons or foreign-adversary-controlled entities under U.S. law; and require destruction of recordings (other than trained models) when the license ends. We do not tell customers who you are, and customers may not contact you.
6.4 Licensing, royalties and your controls
Unless a Lesson is an Exclusive Lesson, an accepted recording may be licensed on a non-exclusive basis to more than one customer, and each license can earn you a royalty (Section 9.3). You direct and control this licensing:
- Remove from future licensing. You may remove an accepted recording from future licensing at any time (except while it is under review, and except for an Exclusive Lesson). This also stops its use in training new Taught Models. You may re-enable it later.
- Pause licensing. You may turn off licensing of new content for your whole account in the App. While licensing is paused, your recordings are not used to train new Taught Models.
- Licenses already granted survive. Removing, pausing or deleting does not revoke, recall or undo any license already granted to a customer before that change, or any Taught Model already trained. Those licenses continue on their terms, and Royalty Gold you have already earned stays yours. We may recall a recording from customers only where the law requires it or to cure a consent or legal defect.
Each licensing event of your work is visible to you in the App, although a customer's identity may be kept confidential.
6.5 Exclusive Lessons
Some Lessons are funded by a customer, or a small named group of customers, that wants exclusive rights. An Exclusive Lesson is always labeled as exclusive before you record, and you must confirm that you understand it is exclusive before you begin. By confirming and submitting an Exclusive Lesson, you sign, electronically, a written grant of the exclusive license described on that Lesson to that customer or group, on the scope and for the term shown — for example, perpetually, or until a stated date after which the recording may be licensed normally. An accepted Exclusive Lesson earns the guaranteed one-time award shown on the Lesson instead of royalties for the exclusive period. You may not remove an Exclusive Lesson from licensing during the exclusive term. You continue to own your original recording, and you may delete it from your account, but the exclusive license survives.
6.6 Name, likeness and voice
Your recordings may show parts of your body (such as your hands), your surroundings, and — depending on the Lesson — your voice or appearance. You consent to Taught and its customers using your likeness and voice only as captured in your recordings and only for the purposes in Section 6.2. This consent does not permit anyone to create a digital replica or voice clone of you, to identify you, or to use your likeness or voice to endorse or advertise anything.
6.7 Moral rights
To the extent permitted by law, you waive, and agree not to assert against Taught or its customers, any moral rights or similar rights (such as rights of attribution or integrity) in Your Content for the uses allowed by these Terms.
6.8 Deleting your account
You may request deletion of your account in the App. When your account is deleted, recordings that have never been licensed are permanently deleted, and recordings that have been licensed remain with the customers who licensed them under those existing licenses (Section 6.4). Taught Models already trained using your recordings are not affected, but no new royalties accrue to a deleted account (Section 6.9). We keep limited records we are required or permitted to keep, as described in the Privacy Policy. Deletion is final. Your available Gold balance remains redeemable for 30 days after you request deletion and is then forfeited (Section 9.8).
6.9 Taught's own AI models
What we may use. "Eligible Content" means your accepted recordings and their associated data that are available for licensing, together with the reviewed annotations and metadata we prepare from them. It does not include recordings that were declined or never submitted, recordings you have removed from licensing (while removed) or recorded while licensing was paused, Exclusive Lessons during their exclusive term (unless the Lesson's exclusive terms allow it), or your account and contact information.
Internal model work does not earn royalties. Using Eligible Content to research, develop, train, fine-tune, test, evaluate or improve Taught Models — and the license you grant us to do so — is not a licensing or sale event. It does not entitle you to a training fee, royalty or other additional payment. Your other rewards, such as base awards, are unaffected.
Royalties when we license or sell a Taught Model. When Taught licenses or sells a Taught Model trained using your Eligible Content — including by selling or licensing its weights or paid access to it — and the customer's payment for that transaction has been received and settled, you earn Royalty Gold. We attribute the revenue from that transaction among the recordings used to train the model in proportion to each recording's accepted recording time in the training data, and you earn your royalty share of the revenue attributed to your recordings, set by your Teacher Level at the time the transaction is recorded (Section 9.3). Each qualifying license or sale earns royalties, including repeat licenses of the same model. Taught's own use of a Taught Model, and revenue from services that do not license or sell a Taught Model, are not qualifying transactions.
Your controls and deletion. Removing a recording from future licensing, pausing licensing, or deleting your account stops your recordings from being used to train new Taught Models. Taught Models already trained may continue to be used, licensed and sold, because information learned by a trained model cannot practically be removed from it. Royalties continue for qualifying transactions while your account is open; no new royalties accrue after your account is deleted (Section 9.8).
Ownership. Taught owns Taught Models. They are not Your Content, and you continue to own your original recordings. Taught Models are subject to the same limits that protect you from customers: we will not use your recordings to identify you, to create biometric templates, or to create a digital replica, synthetic likeness or voice clone of you or anyone else.
7. Your promises about your recordings
Each time you submit a recording, you promise that:
(a) you personally created it, in the App, at the time and in the way the App recorded, and it is not staged to deceive, copied, altered to misrepresent what happened, or generated or manipulated with AI;
(b) you have all rights needed to grant the licenses in these Terms, and neither the recording nor our or our customers' permitted use of it will infringe, misappropriate or violate anyone's copyright, trademark, privacy, publicity or other rights, or any law;
(c) no one under 18 appears or can be heard in it;
(d) every adult who appears or can be heard in it is someone who lives in or was invited into the place you recorded, knew you were recording for Taught, and agreed to appear — and, where the App asks, has completed Taught's participant consent (Section 8);
(e) you did not record any conversation in which a person who did not consent could reasonably expect privacy, and you complied with all laws on recording audio, including laws in states that require every party's consent to record a conversation;
(f) it does not show identity documents, mail, financial, medical or other sensitive documents, screens displaying personal information, or anything else the Community Guidelines prohibit;
(g) if you recorded at a workplace or on someone else's property, you had permission to record there and the recording does not reveal confidential, proprietary or trade-secret information; and
(h) it does not contain copyrighted material such as music or video playing in the background, except incidentally and in a way that does not make it a subject of the recording.
You agree to tell us promptly if any of these becomes untrue for a recording you submitted.
8. Other people in your recordings
Lessons are designed so that you are usually the only person recorded. If another adult will appear in or be heard in a recording, you must follow the App's participant process, which asks that person to confirm they are 18 or older and agree to appear before you record. Do not record anyone who has not agreed, and never record a minor. If someone who appears in a recording asks to be removed, contact us and we will redact or withdraw the recording from future licensing as described in the Privacy Policy. People who appear in recordings may contact us directly at privacy@taught.life.
9. Gold and rewards
9.1 What Gold is
Gold is Taught's reward currency. Gold is a promotional reward that we award for accepted Lessons and other activities described in these Terms. Gold has no cash value and is not money, a deposit, a security, a gift card or your property. You have no property rights in Gold. Gold cannot be purchased, and cannot be sold, transferred, gifted, divided, combined with another member's Gold, brokered, bartered, pledged or used as security, or exchanged for cash, except that your estate may redeem it as described in Section 9.11. Gold earns no interest. Gold can be redeemed only as described in Section 9.6. As a guide, 1,000 Gold corresponds to about $1.00 of redemption value, but gift cards are priced in Gold as shown in the App.
9.2 Base awards
An accepted Lesson earns the base award in Gold shown on the Lesson before you recorded it. A base award is pending while a recording is in review, becomes available when the recording is accepted, and is void if the recording is not accepted. We never award Gold for uploads that are not accepted.
9.3 Royalties
When an accepted, non-exclusive recording of yours is licensed to a customer and the customer's payment for that license has been received and settled, you earn Royalty Gold equal to your royalty share of the licensing revenue we attribute to your recording. Your share is set by your Teacher Level at the time the license is recorded — currently 40% at Level 1, 50% at Level 2, 60% at Level 3, 65% at Level 4 and 70% at Level 5 — and we may change shares for future licenses. We attribute revenue among the recordings in a license in a consistent, documented way (for example, by licensed duration weighted by the rate for each recording). Royalty Gold becomes available only after settlement; nothing is shown or owed for a license before then. You also earn Royalty Gold when Taught licenses or sells a Taught Model trained using your Eligible Content, on the same shares (Section 6.9). If a customer later receives a refund after settlement, we will not reclaim Royalty Gold already credited to you, except in cases of fraud or a breach of these Terms. Royalties are not guaranteed.
9.4 Exclusive awards, bonuses and referrals
An accepted Exclusive Lesson earns the guaranteed award shown on the Lesson instead of royalties (Section 6.5). We may offer bonuses — for example, for completing a Challenge — on the terms shown in the App. Referral rewards are described in Section 10.
9.5 Pending, available and void Gold; corrections
Gold that is pending cannot be redeemed. We may reverse, void or correct Gold that was credited in error, that resulted from a technical problem, or that was obtained through fraud, abuse, multiple accounts, manipulated recordings or any breach of these Terms. Where Gold was credited in error through no fault of yours and you have already redeemed it, we will not ask you to repay it except in cases of fraud or abuse.
9.6 Redemption
You may redeem available Gold for digital gift cards from the catalog shown in the App, which is provided through our gift-card partner. Gift cards are priced in Gold; the minimum redemption is currently a $5 card (we may change the minimum, with notice), and catalog prices may be below face value. We don't guarantee that any particular brand or denomination will be available. When a redemption is approved, the Gold is deducted from your available balance. Gift-card codes are sent to the verified email address on your account. We may limit the number of redemptions per day, require a recent sign-in, and hold a redemption for review for a short period to prevent fraud. Gift cards are issued by third-party merchants and are subject to the merchant's own terms, including any expiration, fee and use rules; Taught is not the issuer and is not responsible for a merchant's goods or services. Redemptions are final: once delivered, a gift card cannot be cancelled, exchanged, returned or reissued, and we are not responsible for a gift card that is lost, stolen, or used by someone else after it was delivered to your email address. If a redemption fails or is not delivered through no fault of yours, we will restore the Gold or deliver the gift card. Keep your account email accurate — gift-card codes are sent only there.
9.7 No expiry; program changes
Gold does not expire, and your balance is not reduced for inactivity. Your Recordings may keep earning royalties long after you record them, so your Gold stays in your account for as long as your account is open. We may change the Gold program, the catalog or the ways Gold can be earned or redeemed; changes apply going forward and will not reduce Gold already available to you, except as allowed by Sections 9.5 and 9.8. If we end the Gold program, we will give you at least 90 days' notice, during which you may redeem all of your available Gold.
9.8 Suspension, closure and forfeiture
While your account is suspended, your Gold is preserved but cannot be redeemed. If we close your account for fraud or abuse, Gold obtained through that conduct is void. If you request deletion of your account, or if we close your account for another reason, you may redeem your remaining available Gold for 30 days, after which it is forfeited, to the extent permitted by law.
9.9 Taxes
You are solely responsible for any federal, state and local taxes on rewards you receive, including gift cards redeemed with Gold, which may be taxable income. We may ask you for taxpayer information (such as an IRS Form W-9) through a secure provider, and we may pause redemptions until you provide it when required by law or when your redemptions in a calendar year approach an IRS reporting threshold. We will issue tax forms (such as Form 1099) where required. We may withhold amounts where the law requires, including backup withholding if required taxpayer information is not provided. We do not provide tax advice.
9.10 Questions about your balance
If you believe Gold is missing, was deducted in error, or that a reward was calculated incorrectly, contact support@taught.life within 30 days after the transaction appears in your activity (or, for a reward you believe you should have received, within 30 days after you would have expected to see it). We will review your activity history and correct genuine errors. After that period, your Gold activity is treated as final, except in cases of fraud.
9.11 If a Teacher dies
If a Teacher dies, their personal representative may contact support@taught.life with reasonable proof of death and authority. We will allow the representative to redeem the Teacher's available Gold for gift cards within a reasonable period, after which we will close the account. No new Lessons, royalties or rewards will accrue after the account is closed, and licenses already granted continue on their terms.
10. Referrals
You may invite others to Taught with your referral code. A new Teacher must enter a code during sign-up. A referral "qualifies" when the new Teacher's first Lesson is accepted. For each qualified referral, you earn a referral boost: an extra 5% of the Royalty Gold you earn, paid by Taught (it never reduces anyone else's rewards), for 12 months or until the boost from that referral reaches its lifetime limit — currently 2,000 Gold per referral — whichever comes first. Boosts can stack up to a total of 15% (three active referrals), and an additional referral's boost starts when an earlier one ends. A referral's limit is fixed when it qualifies; later changes to the limit do not reduce it. Self-referrals, fake or duplicate accounts, and paid, spammy or misleading promotion are prohibited and void the boost. If you post about Taught or your referral code, you must clearly disclose that you may earn rewards from referrals, as the FTC's Endorsement Guides require, and you must not make claims about earnings.
11. Communications
You agree that we may send you notices, disclosures and other communications electronically — by email, in the App or on the Site — and that these satisfy any requirement that they be in writing. Service messages (such as sign-in codes, review results, redemption confirmations and important account or policy notices) are part of the Service. You can opt out of marketing email at any time using the unsubscribe link. We will not send marketing text messages or make marketing calls to you without your separate, prior express written consent.
12. Acceptable use
You agree not to, and not to help anyone else to:
- break the law, or use the Service to harm, harass, deceive or defraud anyone;
- record or submit anything the Community Guidelines prohibit;
- create more than one account, share or sell an account, or use someone else's account;
- submit recordings you did not make in the App, or that are staged, recycled, altered or synthetic;
- manipulate reviews, reservations, Levels, referrals, Gold or redemptions, or exploit errors in the Service;
- access the Service by automated means (bots, scrapers) except as we permit, or interfere with, probe or bypass its security or rate limits;
- reverse engineer, decompile or copy the App or the Service, except as the law allows;
- attempt to identify, contact or obtain information about customers or other users; or
- use the Service in violation of U.S. export control or sanctions laws.
13. Taught's property; feedback
The Service — including the App, the Site, our software, designs, text, graphics, trademarks and the Taught name and logo, but excluding Your Content — belongs to Taught and its licensors. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the App on a device you own or control, for your own use of the Service. If you send us ideas or feedback, we may use them without restriction or compensation to you.
14. Third-party services and links
The Service may link to or rely on third-party services — for example, app stores, our gift-card partner, and retailers of recording mounts listed on our gear page. We do not control third-party services and are not responsible for their products, content, prices, availability or terms. Listing a product on our gear page is a recommendation for use with Taught, not a warranty; buy and use such products under the seller's terms and instructions.
15. Suspension and termination
You may stop using the Service at any time and may delete your account in the App. We may suspend or restrict your account, or close it, if we reasonably believe you have broken these Terms or the law, created risk or possible legal exposure for Taught, other users or customers, or if we are required to by law, or if we stop offering the Service. Where appropriate and lawful, we will tell you. While your account is suspended, you cannot teach, reserve Lessons or redeem Gold, but your recordings and Gold are preserved while we review. Sections that by their nature should survive termination — including Sections 6 (as to licenses already granted), 7, 9.8, 9.9, 13 and 16 through 23 — survive.
16. Changes to the Service and to these Terms
We may change or discontinue any part of the Service. We may update these Terms from time to time. If a change is material, we will give you at least 30 days' notice by email or in the App before it takes effect, and where required we will ask you to accept the updated Terms before you continue to use the affected features. Changes will not apply retroactively to disputes arising before they take effect, and changes to Section 20 are governed by Section 20.10. The "Last updated" date at the top shows when these Terms last changed, and we explain material changes in plain language.
17. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TAUGHT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT ANY LESSON WILL BE AVAILABLE, THAT ANY RECORDING WILL BE ACCEPTED OR LICENSED, OR THAT YOU WILL EARN ANY GOLD, ROYALTIES OR OTHER AMOUNT. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) TAUGHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS; AND (B) TAUGHT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE VALUE OF THE REWARDS YOU REDEEMED THROUGH THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply whatever the legal theory and even if we were advised of the possibility of such damages. They do not limit liability that cannot be limited by law, including liability for fraud, for gross negligence or willful misconduct, or for death or personal injury caused by our negligence, or any rights you have that cannot be waived under applicable consumer protection law.
19. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless Taught and its officers, employees and agents from third-party claims, and related losses and reasonable costs, arising from recordings you submitted in breach of Section 7 or 8, or from your violation of law or of another person's rights. We will notify you of any such claim, may control its defense, and will not settle it in a way that admits fault on your behalf without your consent.
20. Dispute resolution: arbitration and class-action waiver
20.1 Informal resolution first
Before starting arbitration or a small-claims case, you and Taught agree to try to resolve any dispute informally. Send a written notice describing the dispute, the relief sought and your contact details — to us at legal@taught.life, or from us to the email on your account. If the dispute is not resolved within 60 days of receipt of the notice, either party may begin a proceeding. Any limitation period is paused during this period.
20.2 Agreement to arbitrate
Except as provided in Sections 20.3 and 20.5, you and Taught agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service, including their formation, interpretation, enforceability or scope, will be resolved by final and binding individual arbitration, and not in court. The Federal Arbitration Act governs this Section 20.
20.3 Exceptions
Either party may (a) bring an individual claim in small-claims court if it qualifies and stays there; and (b) seek an injunction or other equitable relief in court for infringement or misuse of intellectual property. Nothing in this Section prevents you from bringing an issue to the attention of a government agency.
20.4 How arbitration works
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules, as modified by these Terms, and will be conducted by a single neutral arbitrator. The rules are available at adr.org. The arbitration will take place by video, by phone, on written submissions, or in person in the county where you live, as you choose where the rules allow. Taught will pay all AAA filing, administration and arbitrator fees above the amount of the court filing fee you would have paid, unless the arbitrator finds your claim frivolous or brought for an improper purpose. The arbitrator may award any individual relief a court could award, and will issue a reasoned written decision.
20.5 Class-action and jury waiver
YOU AND TAUGHT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND TAUGHT WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may not consolidate the claims of more than one person or preside over any class or representative proceeding, except as the AAA's Mass Arbitration Supplementary Rules permit for administration. A request for public injunctive relief will be severed, stayed until the individual arbitration is complete, and decided by a court.
20.6 Mass filings
If 25 or more similar demands are filed against Taught by or with the help of the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules apply. Each claimant's claim remains an individual arbitration, and each claimant keeps the right to an individual hearing and decision; the outcome of one arbitration does not bind any other claimant.
20.7 Your right to opt out
You may opt out of this arbitration agreement by emailing legal@taught.life within 30 days after you first accept these Terms, with your name, the email address on your account (if any) and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms or any arbitration agreement you previously made with us.
20.8 Severability
If the class-action waiver in Section 20.5 is found unenforceable for a claim, that claim (and only that claim) will proceed in court and not in arbitration. If any other part of this Section 20 is found unenforceable, the rest remains in effect.
20.9 Time to bring claims
To the extent permitted by law, any claim must be brought within one year after it arises.
20.10 Changes to this Section
If we make a material change to this Section 20, it will not apply to any dispute of which we had notice before the change, and you may reject the change by emailing legal@taught.life within 30 days after it takes effect, in which case the previous version will continue to apply to you.
21. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for Section 20 — except that nothing here deprives you of the protection of mandatory consumer laws of the state where you live. For any claim not subject to arbitration, you and Taught consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except that you may bring a claim in the courts of the state where you live if applicable law gives you that right.
22. App store terms
If you downloaded the App from Apple's App Store, you also agree that: these Terms are between you and Taught, not Apple; Apple has no obligation to provide maintenance or support for the App; to the maximum extent permitted by law, Apple has no warranty obligation for the App, and if the App fails to conform to any applicable warranty, you may notify Apple for a refund of any purchase price (the App is free); Apple is not responsible for any product-liability, consumer-protection, regulatory or intellectual-property claims relating to the App; you are not located in a country subject to a U.S. government embargo or on a U.S. government list of restricted parties; and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you. The same applies, with any necessary changes, to Google Play and other app stores.
23. General
- Entire agreement. These Terms, including the documents they incorporate, are the entire agreement between you and Taught about the Service and replace any prior agreements on the subject.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate.
- Severability and waiver. If any provision is unenforceable, the rest remains in effect, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- No third-party beneficiaries, except as stated in Section 22.
- New Jersey residents. Nothing in these Terms is intended to limit a right that cannot be limited under the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act. In particular, the disclaimers in Section 17, the limitations in Section 18 and the indemnity in Section 19 apply to New Jersey residents only to the extent permitted by New Jersey law.
- California residents. Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
- Headings are for convenience only. "Including" means "including without limitation."
